Requirement

Payment terms

Full 12-month charge is invoiced on order and must be paid before Manage Protect will provision the subscription.

Start of term

Term starts on the date the subscription is created.

Seven-day cooling-off period

Partners may cancel the entire subscription or reduce the seat quantity within the first 7 calendar days (168 hours) after Day 1. A pro-rated refund or credit is issued for unused days. After Day 7, the subscription and seat count are locked for the remainder of the term.

After Day 7

• No cancellations or seat reductions until renewal.• The partner is liable for the full remaining term even if the customer stops using the service.

Seat increases

Additional seats can be added at any time. Each seat-increase order opens its own 7-day adjustment window for the newly added seats only. Added seats are billed pro-rata for the balance of the current term.

Renewal

Subscription renews automatically for another 12-month term on the anniversary date. A fresh 7-day adjustment window opens at renewal. Partners must submit a scheduled change or cancellation during that window to avoid charges for the new term.

Early suspension

Partners may suspend service access mid-term, but billing continues until cancellation is actioned within the next available 7-day window.

Annual Subscriptions (Paid Monthly, Microsoft 365 NCE)

Requirement

Payment terms

Charges for the 12-month commitment are invoiced in 12 equal monthly instalments.

Commitment

The partner enters a fixed 12-month term. Billing continues every month for the full term regardless of end-customer usage.

Seven-day cooling-off period

Within the first 7 calendar days (168 hours) after provisioning, the partner may cancel the subscription or reduce the seats from the original order. A pro-rated credit is applied for the unused days.

After day 7

Cancellations and seat reductions are blocked for the rest of the term. The partner is liable for all remaining charges, even if the customer stops using the service.

Seat increases

Additional seats can be added at any time. Each increase opens its own 7-day adjustment window for the newly added seats only; added seats are billed pro-rata for the balance of the term.

Renewal

Subscription renews automatically on the anniversary date for another 12-month term. A fresh 7-day adjustment window applies at renewal.

Early suspension

Service can be suspended mid-term, but invoices continue until cancellation is actioned in the next available 7-day window.

Manage Protect bond (credit security)

A bond equal to three (3) months of the partner’s total Annual-term Paid-Monthly subscription value is required before provisioning.

Bond review

Manage Protect will review the bond semi-annually and may require an increase if the partner’s commitment grows.

Bond credit / refund

The full amount is credited only when all annual paid-monthly subscriptions have either ended or been converted to monthly-term plans, the Manage Protect Partner Agreement is completely terminated, and the partner’s account is paid in full.

Bond utilisation

Manage Protect may apply the bond to any overdue amounts on the partner’s account.

Right to decline

Manage Protect may refuse requests to provision Annual Paid-Monthly subscriptions at its sole discretion.

Right to terminate

Manage Protect reserves the right to terminate the Partner Agreement at any time, subject to its standard terms and conditions.
