Annual Subscriptions (Paid Upfront, Microsoft 365 NCE)

NCE Terms
These Product Terms are specific to orders for Microsoft licenses under the Microsoft “New Commerce Experience”
1. General
1.1
Microsoft Cloud Services are licensed to you under the terms and conditions outlined in the Microsoft Customer Agreement found here:

1.2
All Microsoft CSP listed items here will commence billing as soon as license keys or tenants are created or subscriptions generated by us or subscriptions transferred to us for your consumption and not later when your end users begin transacting with the said services. Your minimum term commitment to us commences on billing commencement. In the case of Microsoft Azure Usage, the monthly fee reflects service consumption over the billing period and a complete contributing usage breakdown is only available within the Azure portal.
1.3
Day to day management of Microsoft Cloud Services by Brennan IT on your behalf is not included in this pricing schedule but is available and recommended. Managed Services of items such as Office 365 users will be shown in the Managed Services section of this Order Form or on a separate form.
2. Cancellation
2.1
No cancellation or seat reduction is permitted by Microsoft after 7 calendar days (168 hours) from which the subscription is provisioned. As such any cancellation or seat reduction MUST be communicated to Brennan by both phone and email no later than 5 calendar days after the subscription is provisioned. Requests which cannot be actioned within the window provided by Microsoft will require you to pay in full for the subscription term selected and provisioned.
2.2
For subscriptions that are transferred to us from another provider, the cancellation period applies from your original subscription start date, not from when the services are transferred to us.
2.3
For cancellations or seat reduction notified within the above period, you will be required to pay pro-rata for the period which the subscription was active within the 7 day (168 hours) window.
2.4
If additional seats are added to a subscription mid-term, the same cancellation and seat reduction conditions apply as per above.
2.5
Once a cancellation is complete, you will immediately lose access to the service and it can’t be restored, and the subscription will be nonrecoverable.
3. Seat Downgrade
3.1
For annual subscriptions (12 months and 36 months) you can only reduce the number of licensed seats at the time of renewal.
4. License Upgrade & Downgrade
4.1
Full and partial upgrade of licenses to an eligible higher tier product will be possible, co-termed with the existing subscription end date.
4.2
There is no cancellation or change window for license upgrades. For example, once you accept an upgrade from one product to a higher tier, you cannot cancel or revert those changes within 7 days as you can with new licenses or renewals.
4.3
Full upgrade does not require license reassignment unless you have also purchased the same product from another source.
4.4
Partial upgrade requires assigning the upgraded product to existing users.
4.5
Subscription downgrades are not supported.
5. Billing Changes
5.1
You may “upgrade” the billing term mid subscription to a longer term, however downgrade is not allowed.
For example, changing billing term from 1 month to 12 months is permitted, as is changing from 12 months to 36 months. However, changing from 36 month to 12 months is not permitted, nor is changing billing term from 12 or 36 months to 1 month.
6. Renewal
6.1
For Annual subscriptions (12 or 36 month term) either paid Monthly or Annually, your subscription will auto-renew at expiry. Our software team will provide a quote prior to renewal and you must advise us if any changes are required. If we are not notified of any changes, the subscription will automatically renew as per the previous subscription to ensure continuity of your services and you will be billed as per the current quote.
6.2
For Monthly subscription terms, your service will continue month to month until you request us to make a change to the license type, term, or quantity. You will be required to pay pro-rata for the period the license(s) were active prior to the change in licensing being provisioned.
